A Mutual Non-Disclosure Agreement, or NDA, is a form binding two parties to keep each other's business information confidential. This agreement is used when both parties involved in a negotiation are disclosing confidential information. If you have trade secrets, then you need to have something like this signed whenever you disclose confidential information to a third-party. If you are disclosing information but the other party is not, then you can use a "one way NDA," which can also be found on Free Legal Aid.
