Here is one of three sets of "minutes" that you need to have when you first incorporate. This document represents the Minutes of the First Meeting of the Shareholders and includes a Waiver of Notice of Meeting of Shareholders. Normally, you have to either send out notice or get the Shareholders to "waive" notice for any meeting, but here's the fun part: most corporations have one shareholder, one officer, and one director - you. Yes, you have to hold a meeting with yourself, and waive notice of the meeting. But that's what makes it fun! You are the president, or chairman, so ahead and say it: Mr. (Ms.) Chairman, I move that the President be re-elected to serve another term. Mr. (Ms.) President, you say as Chairman, I wholeheartedly agree. All in favor say 'aye' and against? Gavel down, you are President again! Wow. It's exciting to be re-elected, you are very popular.
