A one-way Nondisclosure Agreement (NDA) is a form that you have another party sign when you are going to disclose private or confidential information to them. The NDA attached here is one-way, meaning that it covers what the recipient gets but not vice-versa. In order to convey a two-way confidentiality agreement, you should use a Mutual Nondisclosure Agreement. Often, however, if you are going to tell someone about your trade secrets, you are not going to be privy to their secrets too. Therefore, the one-way NDA is a sufficient form for such transactions.
